Terms of Service

1. Acceptance of Terms

By registering for or using Gyan Suite ("the Platform"), you, on behalf of your school or institution ("Customer"), agree to these Terms of Service ("Terms"). If you do not agree, you may not use the Platform.

These Terms constitute a legally binding agreement between the Customer and Gyan Suite ("we", "us", "our").

2. Our Services

Gyan Suite provides a cloud-based Education ERP Solution that includes, but is not limited to:

• Student and staff management
• Fee collection and financial reporting
• Attendance tracking
• Class and section management
• Role-based access control
• Automated email notifications
• Reports and analytics

We reserve the right to modify, add, or discontinue features at any time with reasonable notice to subscribers.

3. Accounts & Access

• You must provide accurate information when creating an account.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activities that occur under your account.
• You must notify us immediately of any unauthorized access at support@gyansuite.in.
• One subscription covers one school. Multi-school setups require separate subscriptions or an Enterprise agreement.

4. Subscriptions & Billing

4.1 Plans

Gyan Suite is offered on monthly or annual subscription plans. Plan details, pricing, and features are listed on our Pricing page.

4.2 Billing Cycle

Subscriptions are billed in advance at the start of each billing cycle (monthly or annually). Failure to pay will result in suspension of access after a 7-day grace period.

4.3 Plan Changes

You may upgrade or downgrade your plan at any time. Upgrades take effect immediately; downgrades take effect at the start of the next billing cycle.

4.4 Free Trial

New accounts may access a 14-day free trial with full features. No credit card is required for the trial. At the end of the trial, a paid subscription is required to continue using the platform.

5. Acceptable Use

You agree not to use Gyan Suite to:

• Upload or transmit unlawful, harmful, or fraudulent content
• Attempt to gain unauthorized access to any part of the platform
• Reverse-engineer, decompile, or copy the platform's source code
• Use the platform for any purpose other than legitimate school administration
• Violate any applicable local, state, national, or international law

Violation of these terms may result in immediate account suspension without refund.

6. Data Ownership

All school data you enter into Gyan Suite — student records, staff records, fee data — remains your property at all times. We do not claim ownership over your data.

You grant Gyan Suite a limited license to store and process your data solely for the purpose of providing the agreed service.

You may export all your data at any time from the platform settings, and request deletion of all data upon cancellation.

7. Service Availability

We target 99.9% uptime, excluding scheduled maintenance. Scheduled maintenance will be notified at least 24 hours in advance. We are not liable for downtime caused by third-party infrastructure failures, internet disruptions, or force majeure events.

8. Intellectual Property

The Gyan Suite platform, including its design, code, features, logo, and branding, is the exclusive intellectual property of Gyan Suite. You may not copy, reproduce, distribute, or create derivative works without express written permission.

9. Limitation of Liability

To the maximum extent permitted by law, Gyan Suite shall not be liable for:

• Any indirect, incidental, or consequential damages arising from use of the platform
• Loss of data due to user error or third-party failures
• Any damages exceeding the total fees paid by you in the 3 months prior to the claim

The platform is provided "as is" without warranties of any kind beyond those expressly stated in these Terms.

10. Termination

Either party may terminate the subscription:

• By you: Cancel anytime from your account dashboard. Access continues until the end of the current billing period.
• By us: We may suspend or terminate your account for violation of these Terms, with or without notice depending on the severity of the violation.

11. Governing Law

These Terms are governed by the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in India.
